1. Agreement

These Terms of Service ("Terms") govern your purchase of the NXTGEN Business Credit & Federal Program (the "Program"), a done-for-you professional services engagement offered by NXTGEN Consulting LLC ("NXTGEN," "we," "us"), Sugar Land, TX. By purchasing the Program you agree to these Terms.

Over the 6-month term, NXTGEN will: (a) standardize your business identity across state, IRS, bank, and bureau records; (b) file for a D-U-N-S number and confirm your Experian and Equifax Business files; (c) select, open, and manage a Tier-1 net-30 vendor stack, and Tier 2/3 accounts once unlocked; (d) manage an early-payment cadence and verify tradeline reporting via monitoring; (e) file your UEI, complete SAM.gov registration, and secure your CAGE code; (f) build your DSBS profile and capability statement; and (g) provide grant intelligence scanning and proposal development for up to 2 proposals per month. Exact sequencing depends on bureau and vendor processing times outside our control.

4. Your responsibilities

You agree to provide accurate business information, respond to requests for signatures, documents, or approvals within a reasonable time, and maintain the business bank account and funds needed to pay vendor invoices we recommend. Delays on your part may extend the timeline described in Section 3.

5. Payment and installments

The Program is offered at $12,500, payable either in full or as 6 monthly installments, both processed through our sales platform, CopeCart (Cope Americas, LLC). Your purchase contract for the Program is with NXTGEN as the vendor, with CopeCart acting as the checkout and payment platform. If you select the installment plan, you authorize the agreed monthly charge for the full term unless the engagement is cancelled under our Refund Policy. Missed installment payments may result in pause or termination of services.

6. Intellectual property

Templates, trackers, and reference materials NXTGEN provides as part of the Program (e.g., the Identity Master Record, Vendor & Bureau Reference Matrix, Compliance Calendar, Capability Statement) may be used within your own business but not resold or redistributed.

7. Acceptable use

You agree not to direct NXTGEN, or use any materials or accounts we help establish, to engage in fraud or misrepresentation of any kind, including using CPNs in place of legally required identifiers or misrepresenting time-in-business or revenue on any application. NXTGEN performs lawful business credit building and federal registration services only, and will decline any instruction that would require otherwise.

8. Disclaimers and limitation of liability

Services are provided on a commercially reasonable efforts basis. To the fullest extent permitted by law, NXTGEN disclaims all warranties, express or implied, and shall not be liable for indirect, incidental, consequential, or punitive damages arising from the Program. NXTGEN's total liability for any claim shall not exceed the amount you paid for the Program. Nothing in these Terms limits rights you have under applicable consumer protection law that cannot be waived.

9. Third-party dependencies

The Program depends on third-party vendors, bureaus, and government systems (e.g., Dun & Bradstreet, Experian, Equifax, SAM.gov, individual net-30 vendors). NXTGEN is not affiliated with, endorsed by, or sponsored by any of them, and their policies, approval decisions, and reporting practices may change at any time and are outside NXTGEN's control.

10. Termination

Either party may terminate the engagement as described in our Refund Policy. NXTGEN may also suspend or terminate services for non-payment or unlawful requests under Section 7. Sections that by their nature survive termination (intellectual property, disclaimers, limitation of liability, governing law) survive.

11. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. CONFIRM WITH ATTORNEY: venue (Fort Bend County, TX) and whether to include an arbitration clause. Note that disputes relating to checkout, payment processing, or chargebacks may also be subject to CopeCart's own terms.
